For Brand Users and Creators

CatalystM Terms

These Terms govern access to and use of CatalystM services for brands and creators, including creator discovery, outreach, campaign workflows, content review, reporting, creator profiles, and collaboration management.

Brand Terms

1. Account and Authority

By creating or using a brand account, you confirm that you are authorized to act for your company or organization and that the account information you provide is accurate and current.

You are responsible for account credentials, invited users, permission management, and all activity under your brand workspace.

2. Use of CatalystM

CatalystM may be used only for lawful creator discovery, evaluation, outreach, collaboration management, and related brand marketing workflows.

  • Do not misuse, scrape, resell, reverse engineer, overload, or attempt unauthorized access to the service.
  • Do not use the service to harass, deceive, spam, discriminate against, or improperly pressure creators or other users.
  • Comply with applicable advertising, consumer protection, privacy, anti-spam, platform, and sponsored-content disclosure rules.

3. Creator Data and Outreach

Creator profiles, public metrics, audience insights, sample content, and related data may come from creators, public sources, third-party platforms, or authorized integrations. Use this information only inside CatalystM for legitimate brand collaboration purposes.

You are responsible for campaign briefs, offers, messages, deliverable requirements, approvals, disclosures, and any agreement you make with a creator.

4. Brand Content

You keep ownership of campaign briefs, product information, brand assets, files, messages, and other materials you submit. You grant CatalystM the rights needed to host, process, display, secure, support, and improve the service.

You must have the rights to provide Brand Content, and it must not violate law, platform rules, or third-party rights.

5. Fees, Suspension, and Termination

Fees, subscription terms, usage limits, billing cycles, and payment terms are described in the applicable plan, order, or written agreement.

We may suspend or terminate access for non-payment, security risk, unlawful conduct, term violations, or use that may harm CatalystM, creators, brands, or the service.

6. AI, Disclaimers, and Liability

AI-assisted search, matching, drafts, summaries, insights, and recommendations support human decision-making and may be incomplete or inaccurate. You remain responsible for final business, legal, and compliance decisions.

The service is provided "as is" and "as available." To the maximum extent permitted by law, CatalystM is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.

Creator Terms of Use

1. Acceptance of Terms

By creating a Creator account, clicking “I agree,” or using the Creator Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Creator Service.

2. Definitions

  • “Creator Service” means the CatalystM Creator Portal and associated tools made available to creators.
  • “Brand” means a brand, agency, or business that uses CatalystM to discover and collaborate with creators.
  • “Collaboration” means a marketing collaboration, sponsorship, or campaign you agree to with a Brand.
  • “Collaboration Agreement” means the order, brief, statement of work, or agreement you accept with a Brand through or in connection with the Creator Service, which sets out the specific terms of a Collaboration.
  • “Creator Content” means the content you produce for a Collaboration, including videos, images, captions, and other materials; and “Your Content” more broadly means your profile, audience information, and any content you provide to the Creator Service.

3. Description of the Creator Service

The Creator Service allows you to build a creator profile, connect your social media accounts so that your public metrics can be displayed to Brands, receive collaboration invitations, communicate with Brands, and manage agreed deliverables. We may add, modify, or discontinue features at our discretion.

4. Eligibility and Account Registration

To use the Creator Service you must be at least 18 years old and able to form a binding contract. You agree to provide accurate, current, and complete information and to keep your profile up to date.

You are responsible for safeguarding your account credentials and for all activity under your account, and you must notify us immediately of any unauthorized use.

5. Connecting Your Social Media Accounts

When you connect a social media account (for example, TikTok, Instagram, or YouTube), you authorize CatalystM to access and display your public profile information, audience metrics, and sample content through the platforms’ official interfaces and APIs. You represent and warrant that you own or are authorized to connect each account and to share the associated data.

Your use of third-party platforms remains subject to their own terms. You may disconnect an account at any time through your settings; we will stop collecting new data from a disconnected account, subject to data already shared and to existing Collaborations.

6. Beta and Pre-Release Participation

The Creator Service may be offered as, or include, a beta, preview, or pre-release version (a “Beta Program”). The provisions of this Section form part of these Terms and apply whenever you use such features.

6.1 Pre-release “as is” basis.

Beta features are pre-release and may be incomplete, change, be removed, or contain errors. They are provided “AS IS,” without warranty of any kind, and we may modify, suspend, or discontinue them at any time.

6.2 Confidentiality.

Non-public features and any related information you access through a Beta Program are confidential. You agree not to publish reviews, screenshots, benchmarks, or evaluations of non-public features without our prior written consent.

6.3 Feedback.

We may ask you for feedback. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use any feedback you provide without restriction or compensation.

6.4 Data and incentives.

Your use of the Creator Service during a Beta Program is subject to our Privacy Policy, including any additional collection of usage and diagnostic data. Any incentives or early-access benefits we offer to creators during a Beta Program are provided at our discretion and communicated separately.

7. Creator Representations and Prohibited Conduct

You represent, warrant, and agree that:

  • All information you provide — including follower counts, engagement rates, and audience demographics — is accurate, genuine, and not artificially inflated.
  • You will not use, purchase, or maintain fake followers, bot accounts, automated engagement, or any fraudulent or misleading metrics.
  • You will not misrepresent your identity, your audience, or your relationship with any brand.
  • You will comply with all applicable laws and advertising rules, including the U.S. FTC Endorsement Guides, and will clearly disclose sponsored or paid content (for example, with #ad or equivalent).
  • You will not harass, defraud, spam, or abuse Brands or other users.
  • You will comply with the terms and community guidelines of every platform you connect.

Providing false data or engaging in fraudulent activity is a material breach of these Terms and may result in immediate suspension or termination.

8. Your Content and Intellectual Property

You own Your Content. You retain all ownership of Your Content and your profile and audience data. These Terms do not transfer ownership to CatalystM or to any Brand.

License to CatalystM. You grant CatalystM a worldwide, non-exclusive, royalty-free license to host, store, display, and process your public profile, metrics, and sample content within the Creator Service so that Brands can discover and evaluate you. This license ends when you remove the relevant content or close your account, except for data already shared with a Brand or required for an active Collaboration.

Licenses to Brands. Any license you grant a Brand to use Creator Content produced for a Collaboration is addressed in Section 9 and in your Collaboration Agreement, not by this Section.

Feedback. If you provide suggestions or feedback to us, you grant us a perpetual, irrevocable right to use it without restriction or compensation.

9. Collaborations and Content Licensing to Brands

9.1 Direct relationship.

A Collaboration is a direct agreement between you and a Brand. You are responsible for negotiating and agreeing its terms. CatalystM is a facilitator, is not a party to any Collaboration, and is not responsible for a Brand’s conduct, performance, or payment.

9.2 The Collaboration Agreement governs.

The specific terms of each Collaboration — deliverables, compensation, usage rights, territory, term, and exclusivity — are set out in the Collaboration Agreement you accept with the Brand. Review it carefully before you accept, and do not deliver content until you are satisfied with the agreed usage rights and compensation.

9.3 Custom brand agreements.

These Terms of Use set out standard baseline terms for Collaborations. A Brand may upload or provide its own collaboration contract through the Service for you to review and sign. Where such a contract exists and you have accepted it, that contract governs the Collaboration between you and the Brand to the extent it addresses the relevant matter. CatalystM is not a party to any such contract and is not responsible for its contents, validity, or enforcement. You are under no obligation to accept a Brand’s contract; if you have concerns about any terms you are asked to sign, you should seek independent advice before accepting.

9.4 License you grant to the Brand.

When you accept a Collaboration, you grant the Brand a license to use the Creator Content you produce for it on the terms set out in the Collaboration Agreement. Unless you expressly agree otherwise, this license should be understood as non-exclusive and limited to the channels, territory, and duration specified. You decide what rights to grant — including whether the Brand may edit, repost, or reuse the content — and these should be stated expressly in the Collaboration Agreement.

9.5 Paid amplification and whitelisting.

You are not obligated to allow a Brand to run paid advertisements using your content or handle (for example, “whitelisting,” “Spark Ads,” or boosting). Any such right applies only if you expressly grant it in the Collaboration Agreement, and you may set its duration and conditions.

9.6 Deliverables and approvals.

You agree to provide the deliverables you commit to, in the agreed formats and timelines, and to cooperate on reasonable revisions defined in the Collaboration Agreement.

9.7 Compensation, payments, and taxes.

Compensation is as agreed with the Brand. Where the Creator Service facilitates payment, the applicable payout terms are presented at the time of the transaction; otherwise you arrange payment directly with the Brand. You are solely responsible for any taxes owed on amounts you receive.

9.8 Disclosure and compliance.

You are responsible for clearly disclosing sponsored or paid content in line with applicable law, including the U.S. FTC Endorsement Guides (for example, #ad), and for complying with the rules of the platforms where you post.

9.9 What you retain.

Unless you expressly agree to assign ownership in the Collaboration Agreement, you retain ownership of your Creator Content and grant only the license you have agreed. You should not grant rights broader than you are comfortable with, and we recommend confirming all commercial terms in writing before delivering content.

10. Fees

Creating and maintaining a Creator profile is free of charge. Where CatalystM facilitates payments in connection with a Collaboration, applicable service fees, if any, will be disclosed to you before you accept the relevant Collaboration.

11. Third-Party Platforms

The Creator Service depends on integrations with third-party platforms whose availability and policies we do not control. We are not responsible for changes to those platforms, their APIs, or any resulting impact on your profile or metrics.

12. Disclaimers

THE CREATOR SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that you will receive collaboration invitations, that any Brand will engage you, or that the Creator Service will be uninterrupted or error-free.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYSTM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATING TO THE CREATOR SERVICE OR ANY COLLABORATION. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE TOTAL SERVICE FEES WE RETAINED FROM YOUR COLLABORATIONS IN THE PRECEDING TWELVE (12) MONTHS, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless CatalystM and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your Collaborations, your breach of any representation regarding your metrics or audience, or your violation of these Terms or applicable law.

15. Suspension and Termination

We may suspend or terminate your account at any time for any violation of these Terms, including the provision of false or fraudulent data, or conduct we determine to be harmful to Brands or the Creator Service. You may terminate at any time by closing your account.

Upon termination, your right to use the Creator Service ends and we will handle your data in accordance with our Privacy Policy. Provisions that by their nature should survive — including ownership, disclaimers, limitations of liability, and indemnification — will survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The parties will first attempt to resolve any dispute through good-faith negotiation. If unresolved within thirty (30) days, the dispute will be submitted to binding arbitration administered by the American Arbitration Association (AAA), conducted in English in Delaware. To the extent permitted by law, disputes will be resolved on an individual basis.

17. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms, update the “Last Updated” date, and provide notice of material changes. Your continued use of the Creator Service after the effective date constitutes acceptance of the revised Terms.

18. Miscellaneous

  • Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and CatalystM regarding the Creator Service.
  • Severability. If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our consent; we may assign them freely.
  • Language. These Terms are written in English; in case of conflict with any translation, the English version prevails.
